These Terms of Use (or “Agreement”) and govern the terms on which you will use the Services (as defined herein). By accessing or using the Site, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree with the Agreement, you will immediately cease using the Services.
1. Definitions
1.1 “Account” means an account opened within the Service under your subscribed name.

1.7 “You” or “User(s)” or “Customer” includes, but is not limited to, individuals and entities authorised to use the Service, as well as your employees, consultants, contractors and agents, and users of the Service;
1.8 “User Data” means any Content that you post, upload, publish, upload or submit for sharing through the Site.
1.9 “Website” refers to our website available at https://viphomees.com refers to a single web page that appears in response to a click on a search engine optimised search result or online advertisement.
1.10. CRM refers to a system for managing customer interactions, dealing with future and existing customers, optimising and systematising relationships.
2. Service
2.1. V.I.P Home España offers a SaaS tool for viewing real estate units (also known as flats, condos or flats) ;
2.2. V.I.P HOME ESPAÑA allows the creation of online appointments ;
2.3 V.I.P HOME ESPAÑA enables the display of real estate projects, allowing Internet users to view these projects and receive information;
2.4 We hereby grant you a non-exclusive, non-transferable licence to electronically access and use the Services and the Site in accordance with the terms of this Agreement, subject to:
2.4.1 Your opening of an account with us;
2.4.2. your subscription as described on the Site and herein;
2.4.3 Your compliance with the terms and conditions of this Agreement.
2.5 You may receive support through our Website or by email.
2.6 By using the Service, you grant us permission to access your account and “potential customers”, solely in connection with the provision of the Service.
3. Privacy Policy
3.1 This Agreement incorporates our Privacy Policy (“Privacy Policy and Notice”) as an integral part of it and applies to all Users.

4. Validity and applicability
4.1 This Agreement was last updated on 31 October 2017 and is valid between you and Us from the date of acceptance of this Agreement and in accordance with its terms, as it may be updated from time to time at Our sole discretion.
4.2 This Agreement is subject to change at any time without notice. Any changes made to this Agreement will not be retroactive and will not apply to disputes or events that occurred before the change was published.
4.3 You are responsible for regularly reviewing this Agreement.
4.4 This Agreement applies to all visitors and all who access our website or the Service.
4.5 The Service is not available to any User who has been removed from the Service by V.I.P HOME ESPAÑA.
4.6 If you are opening an account on behalf of a company, organisation or other entity, then:
4.6.1 “you” includes you and that entity;
4.6.2 You represent and warrant that you are an authorised representative of the entity authorised to bind the entity to this Agreement and that you agree to these Terms on behalf of the entity.
4.7 You may use the Service as long as you comply with the terms of this Agreement and as long as your Account is not terminated by any party to this Agreement. You are responsible for all actions taken under your account, including any actions of unauthorised Users.
4.8 We reserve the right, in our sole discretion, to add, change, discontinue or otherwise modify features and functionality of the Service at any time. We will post notices regarding such changes on the Site.
5. Third party services
5.1 When you connect to V.I.P HOME ESPAÑA using a third-party service (e.g. Google), you give us permission to access and use your information from that service as permitted by that third-party service and to store your login details for that third-party service.
5.2 As part of our Service, we may offer links to websites operated by various third parties. We are not responsible for any acts or omissions created or performed by these third parties. We provide such links solely for your convenience and information. V.I.P HOME ESPAÑA does not operate or control in any way any information, software, products or services available on such websites. Our inclusion of a link to a website does not imply any endorsement of the services or the website, its content or its sponsoring organisation.
5.3 As between you and third parties involved in or on the VIP Home España platform, the entire responsibility for compliance with all data protection and privacy laws in the relevant jurisdictions rests with you and the third parties.
6. Dane użytkownika

Niezależnie od powyższego, przesyłając Dane użytkownika, niniejszym udzielasz firmie LEAD FOREST, jej podmiotom stowarzyszonym, spółkom zależnym, cesjonariuszom, agentom i licencjobiorcom ogólnoświatowej, niewyłącznej, nieodpłatnej, podlegającej podlicencjonowaniu i zbywalnej licencji na używanie, powielanie, wyświetlanie, dystrybucję , przygotowywać prac pochodnych i wykonywać Dane Użytkownika w związku z Usługą.
6.3. Nie bierzemy odpowiedzialności i nie ponosimy żadnej odpowiedzialności za jakiekolwiek Dane Użytkownika, które Ty lub jakikolwiek inny Użytkownik lub osoba trzecia przesyła w Witrynie. Ponosisz wyłączną odpowiedzialność za swoje Dane użytkownika i konsekwencje ich przesłania, a także zgadzasz się, że działamy jedynie jako bierny kanał prezentacji Twoich danych użytkownika. V.I.P HOME ESPAÑA zastrzega sobie prawo do odmowy opublikowania jakichkolwiek Danych użytkownika lub w dowolnym momencie do usunięcia lub edycji Danych użytkownika (w całości lub w części), jeśli VIP HOME ESPAÑA ma powody, by sądzić, że korzystanie przez Ciebie z Usług i/lub Witryna narusza niniejsze Warunki.
7. Registration and use
7.1 You confirm that you are of legal age and otherwise able to enter into a legally binding contract.
7.2 You confirm that you are over the age of 18 and are fully capable and competent to enter into the terms, conditions, obligations, representations, statements and warranties set out in this Agreement and to observe and comply with this Agreement.
7.3 You will be required to register as a User with VIP HOME ESPAÑA by completing the online registration form on the Site and providing certain details including, but not limited to, your name, password and a valid email address.
7.4 You must provide us with true, complete and accurate registration information and notify us if your information changes. If you are accessing the Services on behalf of a third party, you must have full authority to create their account and provide further information such as their office address and organisation registration number. You agree that you bind such organisation to this Agreement and undertake to indemnify V.I.P HOME ESPAÑA for any breach caused by such organisation (without limiting our right to obtain redress directly from the organisation in conjunction with or as an alternative to your indemnification) .
7.5 You must protect the confidentiality of your password.
7.6 V.I.P HOME ESPAÑA reserves the right to carry out verification and security procedures with respect to all information provided by you to V.I.P HOME ESPAÑA. If V.I.P HOME ESPAÑA has reason to believe that the information you have provided to register for and use any of the Services violates or may violate any provision of these Terms, V.I.P HOME ESPAÑA may, in its sole discretion, take any action it deems appropriate, including without limitation, to terminate your Account.
7.7 You acknowledge that all information you provide to V.I.P HOME ESPAÑA or in connection with our Service is accurate and complete and that you will maintain and promptly update any profile provided to us to ensure accuracy at all times;
7.8 You must activate your username and password to make full use of certain Services.
7.9 You agree not to use usernames that are offensive, obscene or harassing to others. We reserve the right to require you to change your username at any time and for any reason at our sole discretion.
8. Compliance and non-infringement
8.1 You are responsible for ensuring that your use of the Service and/or the Site, including the transmission of User Data, complies with all applicable laws; or other data protection laws.
8.2 In Free Access (10.1.1 below) – You hereby acknowledge that you are aware that we display the V.I.P HOME ESPAÑA logo and link to our Website. Although it is technically possible to remove the logo and link, you undertake to avoid it.
8.3 Prohibited activities on the Website and the Service:
8.3.1. Infringe any intellectual property rights or other proprietary rights of third parties, including but not limited to removing or altering trademarks, logos, copyright or other proprietary rights notices, legends, symbols or labels contained in the Site or creating derivative works based on the Service;
8.3.2. Promote or support terror, racism, bigotry, hatred or physical harm to any group or individual or be offensive, illegal or in any way inappropriate.
8.3.3 To harass or advocate harassment of another person or to abuse people in a sexual or violent manner;
8.3.4. To display pornographic or sexually explicit material;
8.3.5. To promote any illegal activity or behaviour that is offensive, threatening, obscene, defamatory or libellous;
8.3.6. To use the Service to store or transmit Malicious Code, data mining, decompile, disassemble, reverse engineer or otherwise attempt to obtain the source code of any part of the Service or in any way establish, decrypt or obtain communication protocols for accessing any part of the Service or the underlying ideas or algorithms of any part of the Service.
8.3.7. to promote or include information that you know or believe to be inaccurate, false or misleading;
8.3.8. to engage in the promotion of contests, sweepstakes or pyramid schemes;
8.3.9. To infringe or violate the privacy rights of third parties;
8.3.10. To send unsolicited communications (also referred to as “SPAM”, “SPIM” or “SPIT”) or any communications not permitted by applicable law or to use the Service for the purpose of phishing or pharming or to impersonate or misrepresent an affiliation with another person or entity ;
8.3.11. Uploading Material that contains restricted pages or password-only access or hidden pages or images;
8.3.12. Using any robot, spider, other automatic device or manual process to monitor, copy or “scratch” web pages or content contained on the V.I.P HOME ESPAÑA website or for any other unauthorised purpose without our prior written consent;
8.3.13 Taking any action that imposes an unreasonable or disproportionate burden on the Service or our hardware and software infrastructure or any of our Licensors or Suppliers.
9. Continuous contact
9.1 In order to perform this Agreement, VIP HOME ESPAÑA may use the contact details you have provided to contact you via email, SMS and text messages by VIP HOME ESPAÑA and third parties, if applicable, regarding V.I.P HOME ESPAÑA’s services.
10. Payment for the Service
You can visit our Site without registering. However, you will need to register for an account in order to use our Sub-Detail Service. When you create an account, we collect your name, address, country of origin and email address. You will also be required to provide your credit card information to our third party payment processors. We may also ask you for additional information if necessary.
10.1 User account registration is free of charge.
11. Server downtime and maintenance
Our servers may be unavailable as a result of planned or unplanned downtime, such as technical issues, legal compliance, security activities, business decisions or for other reasons. We may attempt to inform you if such downtime is planned, but we are under no obligation to do so. You agree that we are not responsible for the unavailability of our Service.
12. Representations, warranties and indemnities
12.1 You represent and warrant that:
12.1.1 You have all support, rights and benefits for the use of the data and provision of the licence under the Agreement;
12.1.2 Your use of the Services shall not violate any other right or rule of use of any person;
12.1.3 Your use of the Services shall not breach any agreement between you and another.
12.2 You agree to indemnify, defend and hold VIP HOME ESPAÑA and its officers, directors, employees, agents and contractors harmless from any and all costs, expenses, benefits, benefits, costs or expenses, including but not limited to additional attorney’s fees, in addition to or related to:
12.2.1 Your termination from the Service and/or the Site;
12.2.2 Your standards of control;

The Service and the information, software, products and services related thereto are provided “as V.I.P HOME ESPAÑA and/or its suppliers, partners and affiliates disclaim all warranties of any kind, express or implied, in any matter related to the Service and any information, software, products and services contained herein, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
13.2 Use of the V.I.P HOME ESPAÑA service is at your own risk. V.I.P HOME ESPAÑA and/or its suppliers shall not be liable for any direct, indirect, punitive, incidental, special or consequential damages or other damages arising out of or in any way related to the use of the V.I.P HOME ESPAÑA website or service or the delay or inability to use the service or any information, software, products and services obtained through V. I.P HOME ESPAÑA or otherwise resulting from the use of the service, whether arising in whole or in part from breach of contract, tort , negligence, strict liability or otherwise, even if V.I.P HOME ESPAÑA and/or its suppliers have been advised of the possibility of damage.
13.3 In accordance with the RODO, as between the Client and V.I.P HOME ESPAÑA, with respect to the Services, the Client is the Controller and V.I.P HOME ESPAÑA is the Processor. The Client agrees to the terms and conditions contained in the Data Protection Appendix attached hereto and incorporated herein.
The Parties agree that:
13.3.1. all personnel involved in the Processing of Personal Data are and shall remain bound by confidentiality; and
13.3.2. the Parties shall take industry appropriate technical and organisational measures to ensure the security of the processing; and
13.3.3. with respect to the personal data of individual users of the Services and other details that need to be processed by V.I.P HOME ESPAÑA in order to perform this Agreement, the Client and its personnel hereby authorise all industry-reasonable sub-processing, including but not limited to CRM , backup services, marketing services, ERP services and additional services. In the event that V.I.P HOME ESPAÑA engages another processor to perform certain processing activities on behalf of the Client, the same data protection obligations shall be imposed on such other processor as set out in this clause 13.3 of the Terms of Service, in particular the provision of sufficient guarantees of implementation of appropriate technical and organisational measures so that the processing meets the requirements of the RODO; and
13.3.4. as reasonably required, V.I.P HOME ESPAÑA will reasonably assist the Client in responding to requests from Data Subjects to exercise the Data Subjects’ rights under the RODO, and will use its best efforts to assist the Client in complying with its obligations under Art. and breach notifications; and V.I.P HOME ESPAÑA will inform the Client if it is asked to do something that it knows violates the RODO or other EU or Member State data protection legislation; and
13.3.5. V.I.P HOME ESPAÑA will use its reasonable endeavours to delete and procure the deletion of any Personal Data at the direction of the Client, unless storage is required by applicable law; and
13.3.6. the parties shall make available to the other party all necessary and reasonably available information as may be required to demonstrate compliance with the obligations under Article 28 of the DPA; and
13.3.7. V.I.P HOME ESPAÑA will allow and contribute to audits and inspections in this regard in accordance with the RODO, at the sole expense of the Client; and
13.3.8 V.I.P HOME ESPAÑA will only process Personal Data at the Client’s documented instruction and is hereby authorised to process the following types and categories of the Client’s Personal Data, such as the Client’s name, e-mail address, telephone number and any other personal data collected through the forms V.I.P HOME ESPAÑA has created. In addition, the Client has provided the details of its Data Protection Officer (where applicable) to V.I.P HOME ESPAÑA; VIP HOME ESPAÑA’s Data Protection Officer can be contacted at info@viphomees.com. The Client will implement appropriate technical and organisational measures to ensure and be able to demonstrate that the processing is carried out in accordance with the RODO, including the sharing or transfer of personal data to V.I.P HOME ESPAÑA.
13.4 International transfers – For information on international data transfers, please refer to the Privacy Policy and the Notice.
14. LIMITATION OF LIABILITY
14.1 In no event shall V.I.P HOME ESPAÑA or its suppliers be liable for lost profits or any special, incidental or consequential damages, including negligence arising out of or in connection with this Agreement;
14.2 V.I.P HOME ESPAÑA’s liability and the liability of VIP HOME ESPAÑA’s suppliers and affiliates to you or any third party under any circumstances shall not exceed a total of US$500.00. The limitations of liability set forth above are essential elements of the contract between V.I.P HOME ESPAÑA and you. This limitation is subject to the laws of the applicable country;
14.3 Your use of the Service includes the embedding of code in the site or any digital property of the client – You acknowledge that we are not responsible for any mishaps or disruptions caused by the implementation of code in the code of the site either directly or using third party tools such as Google Tag Manager.
15. ERRORS AND DELAYS
15.1 V.I.P HOME ESPAÑA shall not be liable for any errors or delays caused by an incorrect e-mail address or incorrect information provided by you or other technical problems.
16. Taxes:
16.1 You are solely responsible for any applicable state, federal or provincial taxes. Although you may not be charged taxes by us, you agree that you will pay any applicable taxes or fees to your local or state tax authority for any purchases.
16.2 We are not responsible for collecting, remitting or advising you of any taxes, duties or other charges imposed by the government in connection with your purchases.
17. Termination
17.1 V.I.P HOME ESPAÑA reserves the right, in its sole discretion and without prior notice, to terminate your access to the Service for any reason or no reason, including violation of this Agreement, the terms of any service for which you may have registered, or violation of another user’s rights or the law.
17.2 You may opt out of further communication with VIP HOME ESPAÑA at any time by sending written notice to info@viphomees.com. You are responsible for delivering the notice to VIP HOME ESPAÑA.
17.3 V.I.P HOME ESPAÑA reserves the right, with or without notice, at any time to change, modify or discontinue any service or any part or attribute thereof, or to offer any information, goods, content, products or services.
17.4 If VIP HOME ESPAÑA modifies or discontinues any service or aspect thereof, VIP HOME ESPAÑA shall have no liability to you or any third party.
18.General
18.1 You agree that the Service shall be deemed to be located solely in Israel and that this Service shall be considered a passive website and service that does not give rise to personal jurisdiction over VIP HOME ESPAÑA, either specific or general, in jurisdictions other than Israel.
18.2 This Agreement shall be governed by the laws of the State of Israel, without regard to its conflict of law rules. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
18.3 Each of us agrees to submit to the personal jurisdiction of a state court located in Israel for any action for which either party retains the right to seek injunctive or other equitable relief, as further described in the arbitration provision.
18.4 This Agreement, together with the Privacy Policy and any other legal notices published by us on the Service, constitutes the entire agreement between you and us regarding the Service and supersedes any prior written or oral representations.
18.5 If any provision of this Agreement is held invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
18.6 No waiver of any term of this Agreement shall be deemed a further or continuing waiver of that term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
18.7 You and V.I.P HOME ESPAÑA agree that any action arising out of or relating to this service must commence within three (3) months after the accrual of the cause of action. Otherwise, such action shall be permanently barred.
18.8 This Agreement may not be transferred or assigned by you, but may be assigned by VIP HOME ESPAÑA without restriction. Any attempted transfer or assignment in violation of these Terms and Conditions will be void.
18.9 A printed version of this Agreement and any notices provided in electronic form shall be admissible in judicial or administrative proceedings based on or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally created and maintained in printed form.
18.10 All rights not expressly granted herein are reserved to V.I.P HOME ESPAÑA.
19. Copyright and trademark information
19.1 The entire content of the Website is copyright © 2023 V.I.P Home España Ltd. All rights reserved. You may not claim intellectual property rights or exclusive ownership of any of our products, modified or unmodified. All products are the property of V.I.P HOME ESPAÑA. Other product and company names may be trademarks or service marks of their respective owners.
19.2 You agree not to copy, distribute, display, disseminate or otherwise reproduce any information on the Site without obtaining our prior written consent, unless it is in connection with a project on which you are authorised to work.
19.3 We reserve all right, title, interest in and to the Service and the Site and all related intellectual property rights. These rights are protected by international patent, copyright, trademark or trade secret law and international agreements.
19.4 You further agree that all rights, titles, source codes, documents, drawings, data, documentation, designs, technical changes, inventions, trade secrets, copyrights, mask works, all related know-how and all related intellectual property rights, including all changes and modifications, improvements and derivative versions, all belong to V.I.P HOME ESPAÑA. The appearance and operation of the Service and the Website, including colour combinations, logos, button shapes and other graphic elements are the trademark and property of V.I.P HOME ESPAÑA.
19.5 Other trademarks used on the Site are the property of their respective owners. The licence granted under this Agreement does not constitute a sale of the content of the Site or any part or copy thereof, and you do not acquire any rights in it, express or implied hereunder, other than as expressly set out herein.
19.6 V.I.P HOME ESPAÑA may display or provide links or other interactions to third party websites and third party banner advertisements on the Site (“Third Party Sites”). In particular, the Services may also provide you with the ability to link to and post information through Third Party Websites and other third party services, such as advertising sites. Your use of such Third Party Websites and services is at your risk and is subject to the terms and conditions of the provider of the Third Party Websites.
20. Force Majeure
20.1 You agree that we shall not be liable to you for anything for which we might otherwise be liable if it is the result of events beyond our control, including but not limited to natural disasters, war, insurrection, riot, terrorism, crime , labour shortages (including legal and illegal strikes), embargoes, postal disruptions, communication disruptions, unavailability of payment processors, breakdown or lack of infrastructure, lack of materials or any other event beyond our control.
21. Severability
21.1 In the event that a provision of this Agreement is found to be illegal, contrary to another provision of the Agreement or otherwise unenforceable, the Agreement shall remain in force as if it had been entered into without including that unenforceable provision. If two or more provisions of this Agreement are found to be in conflict with each other, V.I.P HOME ESPAÑA shall have the exclusive right to choose which provision shall remain in force.
22. No waiver
22.1 V.I.P HOME ESPAÑA reserves all rights granted to us under this Agreement as well as under the provisions of applicable law. Our failure to enforce any particular provision or provisions of this Agreement or any applicable law shall not be construed as a waiver of our right to enforce the same provision in the same or different circumstances at any time in the future.
