CRM refers to a system for managing customer interactions, dealing with future and existing customers, optimising and systematising relationships.<\/p><h2><strong>2. <\/strong><strong>Service<\/strong><\/h2><p>2.1. V.I.P Home Espa\u00f1a offers a SaaS tool for viewing real estate units (also known as flats, condos or flats) ;<\/p><p>2.2. V.I.P HOME ESPA\u00d1A allows the creation of online appointments ;<\/p><p>2.3 V.I.P HOME ESPA\u00d1A enables the display of real estate projects, allowing Internet users to view these projects and receive information;<\/p><p>2.4 We hereby grant you a non-exclusive, non-transferable licence to electronically access and use the Services and the Site in accordance with the terms of this Agreement, subject to:<\/p><p>2.4.1 Your opening of an account with us;<\/p><p>2.4.2. your subscription as described on the Site and herein;<\/p><p>2.4.3 Your compliance with the terms and conditions of this Agreement.<\/p><p>2.5 You may receive support through our Website or by email.<\/p><p>2.6 By using the Service, you grant us permission to access your account and &#8220;potential customers&#8221;, solely in connection with the provision of the Service.<b>\u00a0<\/b><\/p><h2><b>3. <\/b><strong>Privacy Policy<\/strong><\/h2><p>3.1 This Agreement incorporates our Privacy Policy (&#8220;Privacy Policy and Notice&#8221;) as an integral part of it and applies to all Users.<\/p><p>3.2 Please refer to the Privacy Policy and Notice at: <a href=\"https:\/\/viphomees.com\/privacy\/\">https:\/\/viphomees.com\/privacy\/<\/a><\/p><h2><strong>4. Validity and applicability<\/strong><\/h2><p>4.1 This Agreement was last updated on 31 October 2017 and is valid between you and Us from the date of acceptance of this Agreement and in accordance with its terms, as it may be updated from time to time at Our sole discretion.<\/p><p>4.2 This Agreement is subject to change at any time without notice. Any changes made to this Agreement will not be retroactive and will not apply to disputes or events that occurred before the change was published.<\/p><p>4.3 You are responsible for regularly reviewing this Agreement.<\/p><p>4.4 This Agreement applies to all visitors and all who access our website or the Service.<\/p><p>4.5 The Service is not available to any User who has been removed from the Service by V.I.P HOME ESPA\u00d1A.<\/p><p>4.6 If you are opening an account on behalf of a company, organisation or other entity, then:<\/p><p>4.6.1 &#8220;you&#8221; includes you and that entity;<\/p><p>4.6.2 You represent and warrant that you are an authorised representative of the entity authorised to bind the entity to this Agreement and that you agree to these Terms on behalf of the entity.<\/p><p>4.7 You may use the Service as long as you comply with the terms of this Agreement and as long as your Account is not terminated by any party to this Agreement. You are responsible for all actions taken under your account, including any actions of unauthorised Users.<\/p><p>4.8 We reserve the right, in our sole discretion, to add, change, discontinue or otherwise modify features and functionality of the Service at any time. We will post notices regarding such changes on the Site.<\/p><h2><strong>5. Third party services<\/strong><\/h2><p>5.1 When you connect to V.I.P HOME ESPA\u00d1A using a third-party service (e.g. Google), you give us permission to access and use your information from that service as permitted by that third-party service and to store your login details for that third-party service.<\/p><p>5.2 As part of our Service, we may offer links to websites operated by various third parties. We are not responsible for any acts or omissions created or performed by these third parties. We provide such links solely for your convenience and information. V.I.P HOME ESPA\u00d1A does not operate or control in any way any information, software, products or services available on such websites. Our inclusion of a link to a website does not imply any endorsement of the services or the website, its content or its sponsoring organisation.<\/p><p>5.3 As between you and third parties involved in or on the VIP Home Espa\u00f1a platform, the entire responsibility for compliance with all data protection and privacy laws in the relevant jurisdictions rests with you and the third parties.<\/p><h2><b>6. Nie bierzemy odpowiedzialno\u015bci i nie ponosimy \u017cadnej odpowiedzialno\u015bci za jakiekolwiek Dane U\u017cytkownika, kt\u00f3re Ty lub jakikolwiek inny U\u017cytkownik lub osoba trzecia przesy\u0142a w Witrynie. V.I.P HOME ESPA\u00d1A zastrzega sobie prawo do odmowy opublikowania jakichkolwiek Danych u\u017cytkownika lub w dowolnym momencie do usuni\u0119cia lub edycji Danych u\u017cytkownika (w ca\u0142o\u015bci lub w cz\u0119\u015bci), je\u015bli VIP HOME ESPA\u00d1A ma powody, by s\u0105dzi\u0107, \u017ce korzystanie przez Ciebie z Us\u0142ug i\/lub Witryna narusza niniejsze Warunki.<\/p><h2><strong>7. Registration and use<\/strong><\/h2><p>7.1 You confirm that you are of legal age and otherwise able to enter into a legally binding contract.<\/p><p>7.2 You confirm that you are over the age of 18 and are fully capable and competent to enter into the terms, conditions, obligations, representations, statements and warranties set out in this Agreement and to observe and comply with this Agreement.<\/p><p>7.3 You will be required to register as a User with VIP HOME ESPA\u00d1A by completing the online registration form on the Site and providing certain details including, but not limited to, your name, password and a valid email address.<\/p><p>7.4 You must provide us with true, complete and accurate registration information and notify us if your information changes. If you are accessing the Services on behalf of a third party, you must have full authority to create their account and provide further information such as their office address and organisation registration number. You agree that you bind such organisation to this Agreement and undertake to indemnify V.I.P HOME ESPA\u00d1A for any breach caused by such organisation (without limiting our right to obtain redress directly from the organisation in conjunction with or as an alternative to your indemnification) .<\/p><p>7.5 You must protect the confidentiality of your password.<\/p><p>7.6 V.I.P HOME ESPA\u00d1A reserves the right to carry out verification and security procedures with respect to all information provided by you to V.I.P HOME ESPA\u00d1A. If V.I.P HOME ESPA\u00d1A has reason to believe that the information you have provided to register for and use any of the Services violates or may violate any provision of these Terms, V.I.P HOME ESPA\u00d1A may, in its sole discretion, take any action it deems appropriate, including without limitation, to terminate your Account.<\/p><p>7.7 You acknowledge that all information you provide to V.I.P HOME ESPA\u00d1A or in connection with our Service is accurate and complete and that you will maintain and promptly update any profile provided to us to ensure accuracy at all times;<\/p><p>7.8 You must activate your username and password to make full use of certain Services.<\/p><p>7.9 You agree not to use usernames that are offensive, obscene or harassing to others. We reserve the right to require you to change your username at any time and for any reason at our sole discretion.<\/p><h2><strong>8. Compliance and non-infringement<\/strong><\/h2><p>8.1 You are responsible for ensuring that your use of the Service and\/or the Site, including the transmission of User Data, complies with all applicable laws; or other data protection laws.<\/p><p>8.2 In Free Access (10.1.1 below) &#8211; You hereby acknowledge that you are aware that we display the V.I.P HOME ESPA\u00d1A logo and link to our Website. Although it is technically possible to remove the logo and link, you undertake to avoid it.<\/p><p>8.3 Prohibited activities on the Website and the Service:<\/p><p>8.3.1. Infringe any intellectual property rights or other proprietary rights of third parties, including but not limited to removing or altering trademarks, logos, copyright or other proprietary rights notices, legends, symbols or labels contained in the Site or creating derivative works based on the Service;<\/p><p>8.3.2. Promote or support terror, racism, bigotry, hatred or physical harm to any group or individual or be offensive, illegal or in any way inappropriate.<\/p><p>8.3.3 To harass or advocate harassment of another person or to abuse people in a sexual or violent manner;<\/p><p>8.3.4. To display pornographic or sexually explicit material;<\/p><p>8.3.5. To promote any illegal activity or behaviour that is offensive, threatening, obscene, defamatory or libellous;<\/p><p>8.3.6. To use the Service to store or transmit Malicious Code, data mining, decompile, disassemble, reverse engineer or otherwise attempt to obtain the source code of any part of the Service or in any way establish, decrypt or obtain communication protocols for accessing any part of the Service or the underlying ideas or algorithms of any part of the Service.<\/p><p>8.3.7. to promote or include information that you know or believe to be inaccurate, false or misleading;<\/p><p>8.3.8. to engage in the promotion of contests, sweepstakes or pyramid schemes;<\/p><p>8.3.9. To infringe or violate the privacy rights of third parties;<\/p><p>8.3.10. To send unsolicited communications (also referred to as &#8220;SPAM&#8221;, &#8220;SPIM&#8221; or &#8220;SPIT&#8221;) or any communications not permitted by applicable law or to use the Service for the purpose of phishing or pharming or to impersonate or misrepresent an affiliation with another person or entity ;<\/p><p>8.3.11. Uploading Material that contains restricted pages or password-only access or hidden pages or images;<\/p><p>8.3.12. Using any robot, spider, other automatic device or manual process to monitor, copy or &#8220;scratch&#8221; web pages or content contained on the V.I.P HOME ESPA\u00d1A website or for any other unauthorised purpose without our prior written consent;<\/p><p>8.3.13 Taking any action that imposes an unreasonable or disproportionate burden on the Service or our hardware and software infrastructure or any of our Licensors or Suppliers.<\/p><h2><strong>9. Continuous contact<\/strong><\/h2><p>9.1 In order to perform this Agreement, VIP HOME ESPA\u00d1A may use the contact details you have provided to contact you via email, SMS and text messages by VIP HOME ESPA\u00d1A and third parties, if applicable, regarding V.I.P HOME ESPA\u00d1A&#8217;s services.<\/p><h2><strong>10. Payment for the Service<\/strong><\/h2><p>You can visit our Site without registering. However, you will need to register for an account in order to use our Sub-Detail Service. When you create an account, we collect your name, address, country of origin and email address. You will also be required to provide your credit card information to our third party payment processors. We may also ask you for additional information if necessary.<\/p><p>10.1 User account registration is free of charge.<\/p><h2><strong>11. Server downtime and maintenance<\/strong><\/h2><p>Our servers may be unavailable as a result of planned or unplanned downtime, such as technical issues, legal compliance, security activities, business decisions or for other reasons. We may attempt to inform you if such downtime is planned, but we are under no obligation to do so. You agree that we are not responsible for the unavailability of our Service.<\/p><h2><strong>12. Representations, warranties and indemnities<\/strong><\/h2><p>12.1 You represent and warrant that:<\/p><p>12.1.1 You have all support, rights and benefits for the use of the data and provision of the licence under the Agreement;<\/p><p>12.1.2 Your use of the Services shall not violate any other right or rule of use of any person;<\/p><p>12.1.3 Your use of the Services shall not breach any agreement between you and another.<\/p><p>12.2 You agree to indemnify, defend and hold VIP HOME ESPA\u00d1A and its officers, directors, employees, agents and contractors harmless from any and all costs, expenses, benefits, benefits, costs or expenses, including but not limited to additional attorney&#8217;s fees, in addition to or related to:<\/p><p>12.2.1 Your termination from the Service and\/or the Site;<\/p><p>12.2.2 Your standards of control;<\/p><p>12.2.3 Any actual, advanced, completed or incorporated services between the external transition.<\/p><h2><strong>13. The Service and the information, software, products and services related thereto are provided &#8220;as V.I.P HOME ESPA\u00d1A and\/or its suppliers, partners and affiliates disclaim all warranties of any kind, express or implied, in any matter related to the Service and any information, software, products and services contained herein, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.<\/p><p>13.2 Use of the V.I.P HOME ESPA\u00d1A service is at your own risk. V.I.P HOME ESPA\u00d1A and\/or its suppliers shall not be liable for any direct, indirect, punitive, incidental, special or consequential damages or other damages arising out of or in any way related to the use of the V.I.P HOME ESPA\u00d1A website or service or the delay or inability to use the service or any information, software, products and services obtained through V. I.P HOME ESPA\u00d1A or otherwise resulting from the use of the service, whether arising in whole or in part from breach of contract, tort , negligence, strict liability or otherwise, even if V.I.P HOME ESPA\u00d1A and\/or its suppliers have been advised of the possibility of damage.<\/p><p>13.3 In accordance with the RODO, as between the Client and V.I.P HOME ESPA\u00d1A, with respect to the Services, the Client is the Controller and V.I.P HOME ESPA\u00d1A is the Processor. The Client agrees to the terms and conditions contained in the Data Protection Appendix attached hereto and incorporated herein.<\/p><p><strong>The Parties agree that:<\/strong><\/p><p>13.3.1. all personnel involved in the Processing of Personal Data are and shall remain bound by confidentiality; and<\/p><p>13.3.2. the Parties shall take industry appropriate technical and organisational measures to ensure the security of the processing; and<\/p><p>13.3.3. with respect to the personal data of individual users of the Services and other details that need to be processed by V.I.P HOME ESPA\u00d1A in order to perform this Agreement, the Client and its personnel hereby authorise all industry-reasonable sub-processing, including but not limited to CRM , backup services, marketing services, ERP services and additional services. In the event that V.I.P HOME ESPA\u00d1A engages another processor to perform certain processing activities on behalf of the Client, the same data protection obligations shall be imposed on such other processor as set out in this clause 13.3 of the Terms of Service, in particular the provision of sufficient guarantees of implementation of appropriate technical and organisational measures so that the processing meets the requirements of the RODO; and<\/p><p>13.3.4. as reasonably required, V.I.P HOME ESPA\u00d1A will reasonably assist the Client in responding to requests from Data Subjects to exercise the Data Subjects&#8217; rights under the RODO, and will use its best efforts to assist the Client in complying with its obligations under Art. and breach notifications; and V.I.P HOME ESPA\u00d1A will inform the Client if it is asked to do something that it knows violates the RODO or other EU or Member State data protection legislation; and<\/p><p>13.3.5. V.I.P HOME ESPA\u00d1A will use its reasonable endeavours to delete and procure the deletion of any Personal Data at the direction of the Client, unless storage is required by applicable law; and<\/p><p>13.3.6. the parties shall make available to the other party all necessary and reasonably available information as may be required to demonstrate compliance with the obligations under Article 28 of the DPA; and<\/p><p>13.3.7. V.I.P HOME ESPA\u00d1A will allow and contribute to audits and inspections in this regard in accordance with the RODO, at the sole expense of the Client; and<\/p><p>13.3.8 V.I.P HOME ESPA\u00d1A will only process Personal Data at the Client&#8217;s documented instruction and is hereby authorised to process the following types and categories of the Client&#8217;s Personal Data, such as the Client&#8217;s name, e-mail address, telephone number and any other personal data collected through the forms V.I.P HOME ESPA\u00d1A has created. In addition, the Client has provided the details of its Data Protection Officer (where applicable) to V.I.P HOME ESPA\u00d1A; VIP HOME ESPA\u00d1A&#8217;s Data Protection Officer can be contacted at info@viphomees.com. The Client will implement appropriate technical and organisational measures to ensure and be able to demonstrate that the processing is carried out in accordance with the RODO, including the sharing or transfer of personal data to V.I.P HOME ESPA\u00d1A.<\/p><p>13.4 International transfers &#8211; For information on international data transfers, please refer to the Privacy Policy and the Notice.<\/p><h2><strong>14.
